The agenda becomes the minutes
Build the agenda, take the roll, minute each item as it is taken, and sign. Nothing is written twice, and nothing written after the signature can change what was decided.
Build the agenda
Items, owners and time allocations, nested where a topic has parts. Topics on the annual work plan are carried straight onto the agenda, so the plan reports its own progress.
Hold the meeting
Take the roll and Quorum computes whether the meeting can decide anything. Resolutions and actions are raised item by item, so the agenda becomes the minutes as the meeting runs.
Sign it
The signature freezes the minutes. Every resolution and action arising lands on its register with the arithmetic that carried it, and the audit log keeps the rest.

Everything a board keeps, kept once
A meeting is a writer, not an owner. Decisions, actions and interests belong to the organisation and merely reference the meeting that produced them, which is why a decision taken by email can sit beside one taken in the room.
Decisions
Every resolution on one register, taken in the room or by flying minute, with the tally that carried it.
Actions
Owners, due dates and two reminders each. Overdue is a colour on the dashboard, not a filter on a spreadsheet.
Interests
Declared, dated, never deleted. A ceased interest stays on the register, marked as past.
Between meetings
Flying minutes and reports for what cannot wait a quarter, counted under the board's own constitution.
Documents
Board packs filed by meeting and policies by folder, with spreadsheets carved out of the download restriction.
Annual work plan
A twelve-month calendar of the obligations a board carries, each carried onto an agenda when its month comes.

Silence is assent
A member who never responds is deemed to support the motion. Counter-intuitive, and what most constitutions say, so the rule in force is stated every time a vote closes.
Inquorate is not defeated
A motion that never had a valid meeting behind it was not lost. It was never properly put, and it can be put again.
Percentages are integers
Thresholds are compared in basis points, never floats, and every one reads “more than”. With a 50% bar and an even board, a tie does not carry.
Quorum requires more than 50.00% of 6 eligible members; 6 counted toward quorum (met). 6 for, 0 against of 6 counted; threshold is more than 50.00%. Carried.
